1. Scope and seller
These terms apply to all orders placed through this online shop. The seller and your contractual partner is David Koruga, OkayKoda, Am See 29, 85540 Haar, Germany, email: koda@okaykoda.com (“we”).
A consumer is any natural person acting for purposes that are predominantly outside their trade, business or profession. A business customer is anyone acting in the course of their trade, business or profession.
2. Subject of the contract
We offer digital content for download, in particular loop and MIDI packs (WAV audio files and MIDI files in a ZIP file). No physical goods are shipped. The product page describes what each pack contains.
To use the files you need a device with internet access, software to unpack ZIP files and music software (a DAW) that can handle WAV and MIDI files.
3. Conclusion of the contract
The presentation of products in the shop is not a binding offer but an invitation to order. You can review and correct your entries at any time before submitting the order. By clicking the order button at the end of checkout you submit a binding offer.
The contract is concluded when we accept your order by sending an order confirmation by email or by making the download available. For free products the contract is likewise concluded when the download is made available.
We store the contract text. You receive your order details and these terms by email with the order confirmation. The contract language is English.
4. Prices and payment
The prices shown in the shop at the time of the order apply, in US dollars. Prices are final prices. According to Section 19 of the German VAT Act, no VAT is charged or shown (small business regulation). There are no shipping costs.
Payment is made with the payment methods offered at checkout (for example credit card, Apple Pay and Google Pay via Shopify Payments, and PayPal). The price is due immediately when the contract is concluded. If your account is held in another currency, your bank or payment provider may charge conversion fees that we cannot influence.
5. Delivery
After successful payment, or after completing the order for free products, you receive the download link on the confirmation page and by email to the address given in the order. Please also check your spam folder. If the link does not arrive, write to koda@okaykoda.com.
6. Right of withdrawal
Consumers have a statutory right of withdrawal. Details, including the early expiry of that right for digital content, are set out in the Right of Withdrawal. You can also declare your withdrawal online on the page Withdraw from contract.
7. Rights of use and license
All rights in the loops, MIDI files and FL Studio scores remain with OkayKoda. With your order you receive a simple, non-exclusive, non-transferable right to use the files in your own music productions. The following conditions apply; they are also stated in the license file included in every pack.
7.1 Paid packs: royalty-free under 1,000,000 streams
- Royalty-free use: You may use the files in beats and songs, sell and lease such beats (for example on BeatStars) and release such songs on all platforms without any further fee or revenue share, as long as the release stays under 1,000,000 streams (all platforms combined).
- Over 1,000,000 streams: Once a release passes 1,000,000 streams, the loop must be cleared with us by email to koda@okaykoda.com. OkayKoda then receives the same share of publishing as the other producers involved (with one other producer: 50% each).
- Credit: OkayKoda must always be credited on every release and beat that uses the files, as “prod. YOUR NAME x OkayKoda”.
7.2 Free packs: free for non-profit use
- Non-profit use is free.
- Commercial use only with a share: Using the loops in commercially exploited beats or songs is permitted only if OkayKoda receives the same share of publishing and of revenue from beat sales and placements as the other producers involved. With one other producer this means 50% for OkayKoda and 50% for that producer. If such a beat is sold on BeatStars, OkayKoda (username @prodokaykoda) must be added as a collaborator with that share.
- Credit: OkayKoda must be credited on every release as “prod. YOUR NAME x OkayKoda”.
7.3 For all packs
- No redistribution: The files may not be shared or resold as such, offered in your own sample, loop or starter packs (even if edited), or made publicly available for download.
- No Content ID: Beats or songs using the files may not be registered with YouTube Content ID or similar systems.
- Other uses: For any use not covered here, ask us by email. This requires a separate agreement.
These license terms apply to orders placed from 1 November 2026. Customers who bought a paid pack earlier may also use it under the terms in 7.1. Any use contrary to these conditions is not permitted and may give rise to copyright claims.
8. Defects
The statutory warranty rules for digital products apply. If a file is damaged or incomplete, please contact us by email and we will provide it again.
9. Liability
We are liable without limitation for intent and gross negligence, for injury to life, body or health, and under the German Product Liability Act. For slightly negligent breaches of an essential contractual obligation, meaning one whose fulfilment makes proper performance of the contract possible and on which you may regularly rely, liability is limited to the foreseeable damage typical for this kind of contract. Otherwise liability is excluded.
10. Dispute resolution
We are neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration board.
11. Final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers this choice of law applies only to the extent that it does not deprive them of the protection of mandatory provisions of the country in which they habitually reside. If any provision of these terms is invalid, the remaining provisions remain effective.
